Eira Subscription Agreement
8Employ Ltd
Version 2 (no card for the free month) · 05/10/2026 · consent version subscription-dpa-v2 · card step subscription-card-v1
8Employ Ltd (registered name 8EMPLOY LTD), a company registered in Wales, company number 17082344. Registered office: 74 Wern Terrace, Port Tennant, Swansea SA1 8NT. Registered with the Information Commissioner's Office, registration number ZC104872. Contact: [email protected].
You accept this agreement together with the 8Employ Data Processing Agreement, version 1.2, at 8employ.uk/data-processing-agreement. Our Privacy Policy at 8employ.uk/privacy-policy is for information only and is not part of what you accept.
1. In short
This is a summary. The numbered clauses below are the terms that bind us. If they disagree, the clause wins.
- Your first month is free, and you do not need a card for it. It starts on the day your first weekly read arrives and lasts 30 days.
- To keep Eira after that, add a card. Eira then costs £20 a month, taken from your card each month until you cancel. No VAT is added. Your first payment is taken when your free month ends, however early you add the card, or 7 days after you add it if that is later.
- No card, no charge. If you do not add a card, your weekly reads pause when your free month ends and nothing is ever charged. We keep your data for 6 months in case you want to pick up where you left off, and email you 14 days before that time is up. After that this agreement ends, and your data is deleted within a further 30 days.
- Cancel any time, from Settings in your portal or by email. Cancel before your first payment and you pay nothing. Cancel later and no further payment is taken: you keep Eira until the end of the month you have paid for, and we do not refund part-months. Either way, your weekly reads then pause and we keep your data for 6 months, just as if you had not added a card.
- You get a weekly report, normally every Monday, covering the previous Monday to Sunday, in your portal and by email. If, through our fault, you miss two or more in a month you have paid for, we refund that month.
- Your data stays yours. We use it to produce your reports and to improve the product, and we never show one venue's figures to another.
- We send your business figures to Anthropic, an AI company in the United States, to write the report.
- The report is information, not advice. AI can be wrong. Check anything that matters.
- Being used as an example is a separate, optional tick. If you left it unticked, we will not do it.
- Our liability is capped at £500. Clause 11 says why.
Four things you should know before you tick
These four would surprise most owners, so they are at the top rather than buried.
- Your data is sent to an AI provider. To write your report we send your sales figures to Anthropic, an AI company based in the United States. They process it on our instructions and do not use it to train their models.
- We learn from your data. As well as producing your reports, we use what we learn from your data to improve how the product works for everyone. We never show your identifiable figures to another venue. Showing them to prospective customers happens only if you tick the separate optional box.
- Being an example is your choice. There is a separate, optional tick if you are happy for us to show your reports to prospective customers. Leaving it unticked changes nothing about your service.
- Our liability to you is capped at £500. Clause 11 explains why. If that is not acceptable, do not tick.
2. Who this agreement is between
2.1 This agreement is between 8Employ Ltd, company number 17082344 ("we", "us"), and the business named on the sign-up page where you ticked ("you").
2.2 If that business is a limited company or LLP, "you" means that company, identified by the registered name and number you gave us, and the person who ticked confirms they are a director, partner, owner or manager authorised to agree for it. If the business is run by one person or by partners, "you" means that person, or all of the partners together, trading under the venue's name. We record the name and role of the person who ticked as part of the acceptance record in clause 14.
2.3 You are entering into this agreement for the purposes of your business, not as a consumer. Eira is for business use only: it analyses a venue's trading data and has no personal use. Please do not sign up unless you are acting for a business.
2.4 If any part is unenforceable because you are held to be a consumer, that part applies to the fullest extent the law allows and the rest is unaffected.
2.5 When this agreement starts. You accept this agreement by ticking the box on our sign-up page and pressing the button to send your details. It takes effect at that moment, and we confirm by email. You do not give us a card or any payment details to sign up. From then on this agreement covers your free month and how we handle your data. A paid subscription starts only if you later add a card (clause 4.7). This agreement continues until it ends under clause 4.2, 4.3 or 10. If one of us is with you when you sign up, you still tick the box and press the button yourself, on your own phone or on a device we hand you.
2.6 Pilots. If your venue is on our free pilot, you stay on your Pilot Agreement and this agreement does not apply to you. If you later decide to pay for Eira, you accept this agreement then, and from that date it replaces your Pilot Agreement (clause 13.1).
3. What we provide
3.1 Eira is our weekly hospitality intelligence service. Your data is the trading data you connect or send us, plus anything you type into the portal. Your report, which we also call your weekly read, is what Eira produces from it each week.
3.2 Your report is generated early on Monday morning, covering the previous Monday to Sunday. It goes to your client portal, reached by a login link we email you, and to your inbox.
3.3 To produce it you connect a data source or send us data: your till or card provider (SumUp, GoodTill, Square, EposNow, Dojo), your accounting system (Xero), a spreadsheet or CSV upload, or, where we have agreed it with you, a weekly export you send us by email that one of us loads by hand.
3.4 Where you have a Google listing, we fetch a small number of recent public reviews from Google and use them to draft insights and suggested replies. We ask for up to five reviews Google returns for that venue; Google chooses which five, usually the ones it thinks most relevant. A draft reply may name a staff member a reviewer mentioned. Using, changing, ignoring or posting a draft is your decision: we have no way of posting anything to your Google listing.
3.5 Notes you type into the portal, the Sunday check-in, day notes and answers to Eira's questions, are stored, go into the following week's analysis and are sent to our AI provider. Do not type anything you would not want processed that way.
3.6 What Eira is. Written observations, patterns and suggestions from the data you and your providers give us, produced by automated analysis including large language models. It is information to help you think about your business.
3.7 What Eira is not. Eira is information, not advice. It does not give accounting, tax, legal, financial, employment, health and safety or food safety advice, and nothing in a report is professional advice. We are not your adviser and you are not relying on us as one. We do not audit or verify the data we receive: wrong figures in mean a wrong report out. Every decision remains yours.
3.8 AI can be wrong. It can misread a number, miss context you know and we do not, or state something untrue with confidence. Check what matters against your own records, and tell us when we get it wrong.
3.9 The human involvement we actually have. One of us reads your first report before it is released; after that, each week's report passes an approval check before you see it. That approval is a check, not a promise that a person has read every line. You can ask for a report without AI analysis, or ask one of us to look at a particular figure.
3.10 Reports are about your business, not about people. You must not use a report as the sole basis for a decision about an identified individual, including any decision about an employee's hours, pay, role or employment.
3.11 What we promise. We will provide Eira with reasonable care and skill. We do not promise that a report arrives every single Monday, that the portal is always available, that every figure is right, or that following a suggestion improves your business. We may improve, change or withdraw features. If a change takes away something that materially reduces what you are paying for, we will email you at least 30 days beforehand. You can then cancel, and we refund what you have paid for any time after the change takes effect.
3.12 If a weekly report does not arrive. If, through our fault, you do not receive two or more weekly reports during a month you have paid for, email [email protected] within 30 days of that month ending and we will refund that month's price. A week does not count if we could not produce the report because your data source was disconnected, your provider withdrew our access, or you had not sent data you agreed to send.
4. Your free month, the price and how you pay
4.1 Your free month. Your free month starts on the day we release your first weekly read to your portal, after one of us has checked it (clause 3.9), and ends 30 days later. It costs nothing, and you do not need a card for it.
4.2 Before your first weekly read. Connecting your till and preparing your first weekly read normally takes a few days, and your free month does not start until that read arrives. If we have not released your first weekly read within 30 days of the day you signed up, for example because your till would not connect, either of us may end this agreement by email. Clause 10.8 then applies, and nothing is charged.
4.3 If your free month ends without a card, or you cancel. This clause applies if your free month ends and you have not added a card, or you added one and cancelled before your first payment (clause 10.3(a)). It also applies if you cancel after your first payment (clause 10.3(b)). Your reads pause on the day your free month ends or, if you cancelled after your first payment, at the end of the month you have paid for, and the 6 months below count from then.
(a) Your weekly reads stop, and nothing is charged, then or later.
(b) We email you to say your reads have paused, with the date this agreement will end if you do nothing.
(c) For 6 months your account stays open but paused. You can still sign in and see the reads you have had. We keep your data, and we stop collecting new data from your till. If you add a card in that time, your first payment is taken 7 days after you add it (clause 4.7(c)), and your weekly reads start again with the next Monday's read.
(d) We email you again 14 days before those 6 months are up. If you have not added a card by the end of them, this agreement ends then and clause 10.8 applies, so your data is gone from our live systems within 30 days after that. If you would rather we ended this agreement, or deleted your data, sooner, email [email protected].
You can sign up again later, but without a second free month (clause 4.4).
4.4 One free month per business. Each business gets one free month. If your business has had one before, under this agreement or an earlier one, we will tell you on the sign-up page, before you tick, that there is no free month this time. Your weekly reads then start only once you have added your card, and your first payment is taken on the day you add it.
4.5 The price. If you keep Eira after your free month, it costs £20 a month. Your billing date is the day your first payment is taken (clause 4.7(c)). Each paid month runs from that date to the same date the next month, or to the last day of a shorter month.
4.6 VAT. We are not registered for VAT, so no VAT is added and our invoices show none. If we register, we will give you notice under clause 4.11 before adding VAT, as for any other price change.
4.7 Adding your card.
(a) When we ask. Before your free month ends we ask whether you want to keep Eira (clause 4.9(a)). We only ask for your card once your first weekly read has arrived, except under clause 4.4. You add it from the link in our email or from Settings in your portal.
(b) How. On our page you see the price and the date of your first payment, and you confirm, by ticking a box, that you want your subscription to start (clause 14.6). You then give your card details to Stripe, our payment provider, on its payment page. We never see or store your full card number.
(c) When your first payment is taken. If you add your card during your free month, your first payment is taken on the day your free month ends, however early you add it. If that is less than 7 days after you add your card, your first payment is taken 7 days after you add it instead, so you always have at least 7 days' notice. If your free month has already ended, your first payment is taken 7 days after you add your card. If you have no free month (clause 4.4), it is taken on the day you add your card.
(d) Your authority to us. By ticking that box and completing Stripe's payment page, you authorise us, through Stripe, to charge that card £20 on your first payment date and on each billing date after it, plus the price of any add-on you choose under clause 4.12, until your subscription ends. If you change your card in Settings, this authority moves to the new card. You confirm you are entitled to use the card to pay for your business.
4.8 It renews automatically. Once you have added your card, your subscription renews every month, and your card is charged on each billing date, until you cancel or it ends under clause 10.
4.9 Emails before and after you pay.
(a) During your free month. Before your free month ends we email you to ask whether you want to keep Eira, with a link to add your card. These emails are a courtesy. If you ignore them, nothing is charged. You can ask us to stop them at any time, and that changes nothing else.
(b) When you add your card. We email you straight away to confirm that your subscription has started, the date and amount of your first payment, and how to cancel online.
(c) Before your first payment. If your first payment is after the day you add your card, Stripe emails you a reminder about 7 days before it, or straight away if it is less than 7 days off. We also email you 3 days before it, with the date, the amount and how to cancel, unless you added your card less than 3 days before it.
(d) After each payment. Stripe emails you a receipt with how to cancel, and your invoices are in Settings.
4.10 If a payment fails. Stripe retries it automatically for up to 2 weeks and emails you so you can update your card in Settings. Your reports carry on while it retries. If the last retry fails, your subscription ends that day, your reports stop, and clause 10.8 applies. We will not charge you for that final, unpaid month and will not chase it.
4.11 Price changes. We may change the price. We will email you at least 30 days before a new price applies to you, and publish it. The new price applies from your first billing date after the 30 days. If you do not want to pay it, cancel before then and you will pay nothing more.
4.12 Add-ons. We may offer extras at an extra charge. You only get an add-on, and only pay for it, if you choose it in your portal after we have shown you its price, when you will be charged and anything else that applies to it. It is billed with your subscription. You can remove it from Settings, and the removal takes effect at the end of the month you have paid for. This agreement applies to add-ons, together with any extra terms we show you before you choose one.
4.13 Your card issuer. Nothing in this agreement affects any right you have against your card issuer, for example to stop future payments. If you stop them through your bank, please cancel with us as well. Otherwise the next payment fails and clause 4.10 applies.
4.14 Refunds. We do not refund part of a month when you cancel. We do refund you where this agreement says so: missed reports (clause 3.12), a feature withdrawn (clause 3.11), a cancellation email that reached us before a payment went through (clause 10.2), our ending this agreement without fault on your part (clause 10.5), a change to these terms you do not accept (clause 12.4), or your objection to a new sub-processor (clause 6.4 of the Data Processing Agreement). Refunds go back to the card you paid with, as soon as we can and within 30 days.
5. What we need from you
5.1 Connect or send the data sources you want Eira to use, keep them connected, and tell us if a connection breaks.
5.2 Authority to connect. You confirm you are entitled to connect your till, card, accounting and other accounts to Eira, that you may share the data they hold with us, and that this does not breach your agreement with the provider. If someone else connects an account for you, you confirm they had your authority.
5.3 If access is withdrawn. If you disconnect a source, or a provider withdraws our access, we stop using that source from the next scheduled run and do not try to reconnect. Your reports then stop or become incomplete. We keep data already pulled unless you ask us to delete it, or unless that provider's terms require us to delete it when access is withdrawn.
5.4 Keep your login link and portal access private, keep your card details up to date in Settings if you have added a card, and tell us straight away if someone else may have access to your account.
5.5 Tell us if your contact details, business name or legal entity change.
5.6 Do not send us personal data we do not need. Eira works on business figures, not your customers' details. Do not upload customer lists, booking names or marketing lists, and do not send special category data (health, race or ethnic origin, religious or political beliefs, trade union membership, sex life or sexual orientation, genetic or biometric data) or criminal offence data. Public review text sometimes contains such information unintentionally; that is handled in the Data Processing Agreement and is not a breach by you.
5.7 Staff data. Some till systems, Square among them, give us staff names and shift times with the sales figures. Where yours does, that becomes part of your report data, and telling your staff is your responsibility. The Data Processing Agreement says what we do with it.
5.8 Use your reports for your own business. Share them internally and with your accountant, but do not sell them, publish them as a product, or present our analysis as your own service.
5.9 Do not use a report as the only basis for a significant decision. Treat it as one input alongside your own records and judgement.
5.10 Fair use. Do not try to get into parts of Eira that are not yours, copy or take apart our software, scrape or overload the portal, share your login outside your business, or use Eira for anything unlawful.
6. Your data and who owns what
6.1 You own your data and your reports. Nothing here transfers ownership of your data to us.
6.2 We own Eira: the software, analysis methods, prompts, report format and design, the portal, and everything we learn in aggregate from running the service.
6.3 Licence to run the service. You give us a non-exclusive, worldwide licence to store, copy, analyse and process your data to provide Eira to you, for as long as this agreement lasts.
6.4 Licence to improve the product. Separately, you give us a non-exclusive, worldwide licence to use your data to test, evaluate, backtest and improve Eira, including tuning the analysis and comparing performance across venues. This is separate from producing your reports, which is why it is one of the four things at the top. Three limits: the licence is subject to your data provider's terms; we do not use data from Square or Xero connections, or Google review content, for this (clause 6.4A); and you can object at any time under clause 17 of the Data Processing Agreement, after which we stop within 30 days and your reports and your price carry on unchanged. This licence ends when this agreement ends or when you object, whichever is first. What we keep afterwards is only the aggregated and anonymised information in clause 6.6.
6.4A What we leave out of that work. Square and Xero developer terms restrict what a third party may do with data taken from them, and Google's terms restrict what we may do with review content. So we do not use Square data, Xero data or Google review content for the work in clause 6.4. That work is not part of producing your weekly report: it happens afterwards, by hand, on copies of past report data, and a founder checks a written exclusion list before any evaluation, backtest or comparison run. If you connect Square or Xero, we add your venue to that list when you connect, before any such run.
6.5 We never show your figures to another venue. Your identifiable figures are never shown or reported to another client.
6.6 Aggregated and anonymised information. We may create and use aggregated or anonymised statistics and benchmarks across the venues we work with, during and after this agreement. Anonymised means you, your venue and any individual are not reasonably likely to be identified from the information, by us or by anyone else. We will not identify you as the source, or present it in a way that makes your venue identifiable.
6.7 You may use, copy and keep your reports for your own business, during this agreement and afterwards.
6.8 The data protection side of this, including our legal basis for product improvement and your right to object, is in Part 2 of the Data Processing Agreement (clauses 13 and 17). If you add a card, how we handle your billing details is in clause 15 of that agreement and in our Privacy Policy.
7. Being an example (optional)
7.1 This clause applies only if you ticked the separate optional box on the sign-up page or in our setup wizard. If you did not, we will not show your reports or figures to anyone outside 8Employ as an example.
7.2 If you did tick it, we may show your reports and figures to prospective customers, in meetings, demonstrations and sales material. Before we show anything we take the reviews section out of it.
7.3 You can withdraw at any time by emailing [email protected], no reason needed. Within 7 days one of us goes through the material we control, including our website, our sales material and our demonstration accounts, removes your reports and figures by hand, and stops using them in anything new. Material already printed, emailed or shown cannot be recalled.
7.4 The permission ends when this agreement ends, and the 7-day rule then applies. A pause under clause 4.3 does not end it.
8. Keeping things confidential
8.1 We keep your figures, your reports and anything else non-public you tell us about your business confidential, and use them only as this agreement and the Data Processing Agreement allow.
8.2 You keep confidential the non-public parts of Eira you see: unreleased features and how the analysis works.
8.3 Neither of us need keep information confidential if it is already public through no fault of ours, was already known, is developed independently, or comes from someone free to share it. Either of us may disclose where the law or a regulator requires it.
8.4 These obligations continue for three years after this agreement ends, or longer for personal data as the Data Processing Agreement provides.
9. Feedback
9.1 We will ask what you think of Eira. Honest feedback, including where we get it wrong, is how the product gets better.
9.2 If you give us feedback, suggestions, ideas or bug reports, you give us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose. You are not entitled to payment or credit, we are not obliged to use anything you suggest, and we will not publicly name you as the source without asking first.
10. Cancelling, and how either of us ends this
10.1 Cancel from Settings. If you have added a card, go to Settings in your portal and choose Manage subscription. That opens a page run by Stripe where you can cancel. No reason needed.
10.2 Or email us. You can also cancel, or end this agreement altogether, by emailing [email protected] from the address on your account. We treat it as made when your email reaches us, and if a payment goes through after that, we refund it.
10.3 When cancelling takes effect.
(a) Before your first payment: nothing is charged, ever. Your weekly reads carry on until your free month ends, and clause 4.3 then applies as if you had never added a card.
(b) After your first payment: at the end of the month you have already paid for. You keep Eira until then and no further payment is taken. Clause 4.3 then applies: your account pauses for 6 months and, if you do not add a card again in that time, this agreement then ends and clause 10.8 applies. We do not refund part of a month, except as clause 4.14 says.
(c) If you have not added a card, there is nothing to cancel. If you do nothing, nothing is charged (clause 4.3). To end this agreement sooner, email us. It ends when your email reaches us, or on a later date you give, and clause 10.8 applies.
10.4 Changing your mind. Until your cancellation takes effect you can restart your subscription from Settings, and nothing else changes. During a pause under clause 4.3 you can add a card at any time.
10.5 We can end it on 30 days' notice, by email to the address on your account, for any reason, including withdrawing Eira altogether. We refund what you have paid for any time after it ends.
10.6 We can end it straight away if you break this agreement materially and do not put it right within 14 days of us asking, or if we reasonably believe your use of Eira is unlawful. In that case we do not refund the current month.
10.7 If your data stops reaching us. If we cannot produce your reports because your data source access has gone, we email you. If it is not fixed within 14 days, either of us may end this agreement straight away by email, and no further payment is taken.
10.8 What happens at the end. When this agreement ends, for any reason, including at the end of the 6-month pause under clause 4.3, we stop generating reports and switch off portal access within 5 working days of the end date. Tell us within 14 days whether you want your data back or deleted; if you do not, we delete it. Either way it is gone from our live systems within 30 days of the end, as the Data Processing Agreement sets out. If you paid us, we keep payment records for as long as tax and company law require. You keep the reports you already have.
10.9 Clauses 2, 4.10 (the final unpaid month), 4.14 (refunds already owed), 6.2, 6.5, 6.6, 6.7, 8, 9, 10.8, 11, 13 and 14 survive the end, along with any other clause that by its nature is meant to.
11. What we are responsible for, and what we are not
Please read this clause. It limits what we can be held legally responsible for, and the limit is low.
11.1 Why the limit is set where it is. Your first month is free. After that Eira costs £20 a month, only if you choose to keep it, and you can cancel at any time. £500 is more than two years of that price. Eira is information, not advice: every decision stays with you, and you are better placed than we are to insure your own business losses. We do not currently hold professional indemnity insurance. That is why the limit is where it is, and why it is also at the top of this document.
11.2 What we never exclude. Nothing here limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
11.3 No other warranties. Apart from what we expressly promise here, including reasonable care and skill in clause 3.11, and so far as the law allows, we give no warranties: not of accuracy, completeness, availability, uninterrupted delivery, freedom from error, or fitness for a particular purpose. Other terms implied by law are excluded.
11.4 Losses we are not liable for. So far as the law allows, we are not liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, reputation or opportunity, loss or corruption of data or the cost of restoring it, or wasted expenditure, in each case whether direct or indirect, nor for any indirect or consequential loss. We are not liable for decisions you take on a report, and, because Eira is information rather than advice, we accept no duty of care to you in relation to any decision you take on it. Nor are we liable for errors, acts or downtime on the part of your own systems and data providers. They are your suppliers, not ours.
11.5 The cap. Subject to clause 11.2, our total liability arising out of or in connection with this agreement, whether in contract, in tort (including negligence), for breach of statutory duty or otherwise, is limited in aggregate to £500. Refunds we owe you under clause 4.14 are paid in full and do not count towards the cap.
11.6 Your side. You will indemnify us against claims, losses and reasonable costs we suffer because you broke clause 5.2 or clause 5.6. That is the only indemnity you give us.
11.7 Data protection liability. Our liability to you under the Data Processing Agreement is included in the £500 in clause 11.5, except for what clause 20.2 of that agreement says cannot be limited: liability to individuals under Article 82 of the UK GDPR, liability to the Information Commissioner's Office, and anything else data protection law does not allow us to limit.
11.8 Each part of this clause operates separately. If one part is unenforceable, the rest still applies.
12. Changes to this agreement
12.1 We may change this agreement, but only to reflect a change in the law or regulatory guidance, a change in how Eira works or in our suppliers that affects these terms, to correct an error or make something clearer, or for security or operational reasons. We will act reasonably and in good faith, never arbitrarily. Price changes follow clause 4.11, not this clause.
12.2 For ordinary changes we will email you at least 14 days beforehand, say what has changed and why, and publish the new version. If, after that date, you keep a data source connected to Eira or sign in to your portal, the new version applies. If you do neither and do not reply, the old version continues until you do, or until either of us ends this agreement under clause 10.
12.3 Material changes need a fresh tick. A material change is one that reduces your rights or protections, increases what you must do, changes how payment, renewal, cancellation or refunds work (other than the price), changes clause 6, 7 or 11, adds a new category of personal data or a new purpose in Part 2 of the Data Processing Agreement, weakens our security or retention commitments, changes who we send your data to, or changes the AI provider. For a material change we will not treat you as bound until you accept it: we publish a new version with a new version string and ask you to tick a box accepting it, as you accepted this one. Until you do, the version you accepted applies. If you have not accepted it within 30 days, we may end this agreement under clause 10.5.
12.4 If you do not want a change, you can cancel before it takes effect, and we refund what you have paid for any time after it takes effect.
12.5 Every version is numbered and dated. We never edit a published version in place, and we will send you the version you accepted on request.
13. General
13.1 The whole agreement. This agreement and the Data Processing Agreement are the whole agreement between us about Eira. From the date you accept them they replace any earlier pilot agreement or data processing agreement between us. Anything either of us did under an earlier agreement before that date stays valid, and any permission you gave us under it that you have not withdrawn, such as the optional example permission, continues on the terms of this agreement. The Privacy Policy is for information only.
13.2 Non-reliance. Each of us confirms it has not relied on any statement, representation, assurance or warranty not written here. That includes anything we said in a meeting, a demonstration or an email. Neither this clause nor clause 13.1 limits liability for fraud or fraudulent misrepresentation.
13.3 No third-party rights. A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
13.4 Transferring this agreement. We may transfer it to a company that takes over our business, and will tell you by email. You may not transfer it without our written consent, which we will not unreasonably withhold.
13.5 Notices. Notices are given by email: to you at the address on your account, to us at [email protected]. A notice is treated as received the next working day, unless it bounces. A cancellation under clause 10.2 counts from when it reaches us.
13.6 Severance and waiver. If any part is unenforceable, the rest continues and that part applies so far as the law allows. Not enforcing something straight away does not give up the right to enforce it later.
13.7 If the documents disagree. On data protection, the Data Processing Agreement takes precedence. On everything else, this agreement does.
13.8 Complaints. If you are unhappy, email [email protected] first. We will acknowledge within 30 days and tell you what we are doing. The Privacy Policy explains your separate right to complain to the Information Commissioner's Office.
13.9 Law and courts. This agreement, and any dispute arising out of it, is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
13.10 Reading this agreement. "Including" means including but not limited to. Headings are there to help you read, not to interpret.
14. How you accepted this
14.1 You accepted this agreement electronically on our sign-up page, by ticking a box that started unticked, next to links to the full text of this agreement and the Data Processing Agreement and below the four points in clause 1. The wording was: "I agree to the Eira Subscription Agreement and the 8Employ Data Processing Agreement on behalf of my business. My first month of weekly reads is free and needs no card. If I then add a card, Eira is £20 a month, renewing each month until I cancel. If I don't, nothing is charged. I confirm I am authorised to agree for my business, and that I have had the opportunity to read both documents in full."
14.2 If you also ticked the optional box in clause 7, that wording was: "I'm happy for 8Employ to show my reports and figures to prospective customers as an example of their work. (Optional — everything works exactly the same if you leave this unticked.)"
14.3 Our system stored the wording you accepted, the version string (subscription-dpa-v2 here and for the Data Processing Agreement, demo-v1 for the optional permission), the date and time in UTC, the IP address you accepted from, and the name and role you gave us. We keep every acceptance record, not just the latest. That record is how we evidence this agreement.
14.4 How signing up works. You (1) tell us which till you use, (2) enter your business details on our sign-up page, tick the box and press the button to send them, and (3) connect your till. Until you press the button in step 2 you can go back and correct anything you entered. We do not ask for a card. We then email you a confirmation with a link to the version of this agreement you accepted, which you can save or print. We keep that version and your acceptance record. This agreement is in English.
14.5 Accepting electronically is as binding as signing on paper. Email [email protected] for a copy of either document or of your acceptance record, and one of us will send it to you.
14.6 How adding your card works. If you add a card, you (1) open the link in our email, or go to Settings in your portal, (2) on our page, check the price and the date of your first payment and tick the box confirming you want your subscription to start, (3) enter your card on Stripe's payment page, which shows the price and the date of your first payment, and (4) press the button on that page. Until you press it you can go back and correct anything you entered. The box started unticked. Its wording was: "Start my Eira subscription on the Subscription Agreement terms: £20 a month, no VAT, on the card I add next, first on [date] and then monthly until I cancel. Cancel before [date] and nothing is charged. I'm authorised to use this card for my business." If you had no free month (clause 4.4), it said "first today" and left out the sentence about cancelling before the date. We store it as in clause 14.3, with the version string subscription-card-v1, and email you a confirmation (clause 4.9(b)).
